As a MAJIC Innovations LLC user, you may be required to create an account for your business with MAJIC Innovations LLC. You warrant that the information you provide is truthful and accurate and that you are not impersonating another person. You are responsible for maintaining the confidentiality of any password used to access your user account and agree not to transfer or share your password or username with any unauthorized third party. You are fully responsible for all transactions and communications conducted through your account. You agree to immediately notify MAJIC Innovations LLC of any unauthorized use or breach of security. MAJIC Innovations LLC is not liable for any loss or damage arising from your failure to comply with these obligations. See Section 13 for more information.

SECTION 6 – DISCLAIMER – YOUR BUSINESS'S INDIVIDUAL RESULTS WILL VARY

MAJIC Innovations LLC does not promise or guarantee your business's success, income, or sales. You understand and agree that we do not provide leads or referrals. Clients receive access to automation tools, strategies, and marketing systems, but these are not guaranteed to produce any specific outcome. We do not offer a "get rich quick" program, franchise, or turnkey system. Use of our services requires time, effort, and judgment. We do not provide tax, legal, financial, or accounting advice. Consult your own advisors accordingly.

SECTION 7 – YOUR RESPONSIBILITIES IN RUNNING YOUR BUSINESS

You are solely and exclusively responsible for complying with any and all applicable laws and

regulations in running your business, including, but not limited to, all laws governing advertising and marketing claims, subscriptions, refunds, premium offers, tax laws, and all additional laws applicable to your business. MAJIC

Innovations LLC shall have no liability for your or your business's violation of any laws. MAJIC Innovations LLC shall not be responsible to collect or report any taxes which may apply to your business or sales of products or services by your business. You agree to indemnify MAJIC Innovations LLC as set out in Section 13 below in the event that you and/or your business violates any law and a claim is threatened or asserted against MAJIC Innovations LLC as a result. You understand and agree that in running your business, transactions may be subject to sales tax, and that it is your sole and exclusive responsibility to collect and report such tax for sales to your customers.

PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR ONSEQUENTIAL DAMAGES OF ANY KIND,

INCLUDING, WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF

DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT,

TORT (INCLUDING NEGLIGENCE), STATUTE, STRICT LIABILITY, OR OTHERWISE, ARISING

FROM YOUR OR YOUR BUSINESS'S USE OR ATTEMPTED USE OF ANY PART OF THE

WEBSITE OR ANY SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR OR YOUR

BUSINESS'S USE OR ATTEMPTED USE OF THE WEBSITE OR ANY SERVICE, INCLUDING, BUT

NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE

MAJIC Innovations LLC IS FOUND LIABLE UNDER ANY THEORY, MAJIC Innovations LLC'S

LIABILITY AND YOUR AND YOUR BUSINESS'S EXCLUSIVE REMEDY WILL BE LIMITED TO THE

LESSER OF (I) USD $1,000.00, OR (II) THE TOTAL AMOUNT OF MONEY YOU OR YOUR BUSINESS PAID TO MAJIC Innovations LLC IN THE ONE (1) MONTH PERIOD IMMEDIATELY PRECEDING THE INCIDENT ON WHICH YOUR OR YOUR BUSINESS'S ALLEGED CLAIM IS BASED. THIS LIMITATION OF LIABILITY SHALL APPLY FOR ALL CLAIMS, REGARDLESS OF WHETHER MAJIC INNOVATIONS LLC WAS AWARE OF OR ADVISED IN ADVANCE OF THE POSSIBILITY OF DAMAGES OR SUCH CLAIMS. SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU OR YOUR BUSINESS.

DISPUTE RESOLUTION BY MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER PLEASE READ THIS ARBITRATION PROVISION CAREFULLY TO UNDERSTAND YOUR AND YOUR BUSINESS'S RIGHTS. EXCEPT WHERE PROHIBITED BY LAW, YOU AND YOUR BUSINESS AGREE THAT ANY CLAIM THAT YOU OR YOUR BUSINESS MAY HAVE IN THE FUTURE MUST BE RESOLVED THROUGH FINAL AND BINDING CONFIDENTIAL ARBITRATION. YOU AND YOUR BUSINESS AGREE TO WAIVE THE RIGHT TO A TRIAL BY JURY. THE RIGHTS THAT YOU OR YOUR BUSINESS WOULD HAVE IF YOU OR YOUR BUSINESS WENT TO COURT, SUCH AS DISCOVERY OR THE RIGHT TO APPEAL, MAY BE MORE LIMITED OR MAY NOT EXIST. YOU AND YOUR BUSINESS AGREE TO ONLY BRING A CLAIM IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF (LEAD OR OTHERWISE) OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND YOUR BUSINESS FURTHER AGREE THAT THE RBITRATOR MAY NOT CONSOLIDATE PROCEEDINGS OR CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

If you or your business has a complaint, dispute, or controversy, you agree to first contact us at [email protected] to attempt to resolve

it informally. If not resolved within 120 days, the matter shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules in Austin, Texas. Arbitration may be conducted by telephone or written submission

if mutually agreed. The arbitrator’s decision will be final and binding, and judgment may be entered in any competent court. All arbitration must be

brought individually—no class or representative arbitration allowed. Fees shall be shared per AAA rules. You and we each pay our own legal and

associated costs. This provision is governed by the Federal Arbitration Act and survives termination of your account. If a court deems the class action waiver unenforceable, this entire section shall be void. All claims must be brought within 1 year of arising.

SECTION 12 – MAJIC Innovations LLC’S ADDITIONAL REMEDIES

To prevent or limit irreparable harm, MAJIC Innovations LLC may seek temporary or

permanent injunctive relief in Austin, Texas courts, in addition to any other remedies

available, for any breach or threat of breach of these Terms, or intellectual property infringement.

You and your business consent to personal jurisdiction and exclusive venue in such courts.

SECTION 13 – INDEMNIFICATION

You agree to indemnify and hold harmless MAJIC Innovations LLC and its affiliates, employees, contractors, and licensors from any and all claims, losses, liabilities, damages, or expenses (including attorneys’ fees) arising from: (1) your or your

business’s use or misuse of the Website, (2) any content you submit, (3) your breach of these Terms, or (4) your violation of law or third-party rights.

SECTION 14 – NOTICE AND TAKEDOWN PROCEDURES; COPYRIGHT AGENT

Include your contact info, a description of the work, and a statement under penalty of perjury of your good-faith belief of infringement. If you are wrongly accused, you may submit a counter-notice.

Sections 6, 16–20, and 25–32, along with any representations or obligations made by you, shall survive termination. You remain responsible for any outstanding payments.

SECTION 17 – NO WAIVER

No failure or delay by MAJIC Innovations LLC in exercising any right or remedy shall operate as a waiver. Any waiver must be in writing and signed by MAJIC Innovations LLC.

SECTION 18 – GOVERNING LAW AND VENUE

This Agreement shall be governed by Texas law. Any dispute not subject to arbitration

must be brought in state or federal courts in Austin, Texas. You irrevocably consent

to personal jurisdiction and exclusive venue in those courts. All claims must be brought individually. Each party shall bear its own costs.

SECTION 19 – FORCE MAJEURE

MAJIC Innovations LLC is not liable for delay or

failure caused by events beyond its control ("Force Majeure Event"), including natural disasters, labor strikes, acts of war, or governmental restrictions.

We are not obligated to resolve any such events beyond what the law requires.

SECTION 20 – ASSIGNMENT

MAJIC Innovations LLC may assign this Agreement without notice. You may not assign your rights without our written consent.

SECTION 21 – ELECTRONIC SIGNATURE

You agree that electronic communications from us have the same legal effect as written communications signed by hand.

SECTION 22 – CHANGES TO THE AGREEMENT

We may update these Terms at any time by posting them on our Website. Continued use of the Website after changes constitutes acceptance.

SECTION 23 – SEVERABILITY

If any provision is deemed invalid, the remaining provisions shall remain in full force. Invalid terms may be modified to reflect original intent as closely as possible.

SECTION 24 – ENTIRE AGREEMENT

you consent to receive SMS messages from MAJIC Innovations LLC (DBA: bAIt)

for purposes including service reminders, appointment confirmations, and marketing

communications related to our pest control automation services.

Message frequency may vary. Message and data rates may apply.

You may cancel the SMS service at any time by replying STOP to any message you receive.

After texting STOP, you will receive one final message confirming that you have been

unsubscribed. If you wish to opt back in, you must complete a new opt-in form or contact us directly with your consent.
